Executive Summary
The new combined firm will have two divisions.
The first business, Sebastian Comedy Society “SCS” is in the comedy entertainment and marketing division. It was established in 2010.
“SCS” stages, produces, and markets comedy performances. Currently these operations are limited to the Florida market. After the merger “SCS” will expand to provide comedy club / venue services to markets outside Florida including a new operation in a Shanghai, China hotel property and other major markets including Dubai. Revenue from these services is generated from management fees, percentage of admission ticket / cover sales, sponsorship programs and percentage of bar sales produced at events.
At present “SCS” does not own, rent or operate its own comedy club venues but uses facilities at properties it either rents for the night or is hired by venues to stage comedy performances.
“SCS” successfully created its own unique tourism development vehicle this past year. Comic Retreat & Conference 2011 attracted comedians, industry professionals, and media coverage from around the globe. 2012 will find Comic Retreat moved to a larger major market for its second year. This event gives our small firm a competitive edge over our mega-corporate competitors, giving us first access to the next wave of emerging comic talent. In 2011 our firm plans a launch of our new comedy internet product ComicCall.com.
The second business division is Electric Car Village.com “ECV”which is an online sales platform for low-cost, electric city-car manufactures.
In 2008 our company founder Pete O’Neil traveled to China for three sourcing trips seeking a low-cost, electric city car that he could sell in the USA and South America markets. Mr. O’Neil could never find one that could meet US DOT safety rules and was priced right. Also gasoline prices were low in the USA the past two years not increasing the market need for electric cars. Mr. O’Neil was able to convince an international auto rental corporation based out of New Jersey to agree to place our electric car models into their rental fleet in targeted markets. This would allow new owners to "test drive" the models before the purchase without us having to build the old traditional auto dealership sales network.
Last month one of the groups that Mr. O’Neil met in China came to the USA for the annual Detroit Auto Show and presented a model that will meet US DOT codes, is priced right (we can retail in USA at $4,500 USD) and now gasoline prices are now on the rise.
These new developments put the Electric Car Village project in a strong position.
Over the past two years other entrepreneur groups attempting to also introduce low-cost Asian made electric car into market became frustrated and imported some vehicles using ports in Texas. These firms went foul with the federal automotive regulatory agencies in the USA and had some of their orders seized by the feds at port.
Mr. O’Neil stayed calm, worked with governmental officials during his entire search at one point hiring a retired DOT official as a consultant. Since Mr. O’Neil could not acquire a vehicle that could meet US DOT standards he didn’t attempt to import the vehicles into the market. One test order that was placed for a new micro-van product was never taken from the factory. Mr. O’Neil had to have officials in Beijing return the firm’s funds for the order since while the vehicle has still in production at the factory in China Mr. O’Neil’s locally hired consultant spotted the unit had no proper safely glass and was being sent over with the wrong size motor ordered. Our firm has done all the research for cost of auto import, sea cargo, taxes, ground shipping, etc.
Now that things are ready for the introduction of the low-cost, electric city cars, Mr. O’Neil’s patience will allow our firm the opportunity to enter the market at the correct time with the correct product.
Our new electric model will not have a huge budget for sales in the beginning so it will be featured as a “sponsor” in all Sebastian Comedy Society events.
Our firm’s business philosophy is the importance to make progress in small careful steps.

Our goal is to find and merge with a clean Frankfurt shell that will net our new combined firm $155k EUR after merger. Our firm is offering 20%-30% equity for this venture investment. The amount of money our firm needs until profitable operations is $150,000 USD. “SBS” was a first year start-up this year with income under $15,000 USD and a net loss of under $5600 USD. Ramp up of online auto sales and new comedy venues will not begin till fourth quarter of 2011. At the end of three years of operations one or both divisions could be sold off if market conditions allow.
